Brand Ambassador Agreement – Terms & Conditions

This Brand Ambassador Agreement ("Agreement") is made between: VXS Gym Wear Limited, a company registered in the United Kingdom ("the Company"), and the individual accepted as a Brand Ambassador ("Ambassador").

By applying to and participating in the VXS Gym Wear Brand Ambassador Programme, the Ambassador agrees to comply with the following Terms & Conditions:

1. Role & Responsibilities

1.1. The Ambassador agrees to actively promote VXS Gym Wear products through their social media platforms, personal networks, and in-person interactions. 1.2. The Ambassador shall create and share authentic content, including but not limited to photos, videos, and testimonials featuring VXS Gym Wear products. 1.3. The Ambassador shall use provided discount codes and affiliate links to encourage purchases. 1.4. The Ambassador agrees to maintain a professional and positive representation of the brand at all times. 1.5. The Ambassador is responsible for disclosing their relationship with VXS Gym Wear in accordance with UK advertising regulations (e.g., including #Ad or #Sponsored where necessary). 1.6. The Ambassador must tag the official VXS Gym Wear social media accounts in any posts, stories, or videos where they are representing or promoting the brand.

2. Conduct & Brand Representation

2.1. The Ambassador shall conduct themselves in a professional manner that aligns with the brand values of VXS Gym Wear. 2.2. The Ambassador shall not engage in behaviour that could harm the reputation of the Company, including but not limited to offensive, discriminatory, or illegal activities. 2.3. The Ambassador shall not misrepresent the Company, its products, or its mission. 2.4. The Ambassador shall not promote or endorse competing brands without prior written consent from the Company. 2.5. The Ambassador must comply with all applicable laws and social media guidelines when promoting VXS Gym Wear.

3. Promotional Guidelines

3.1. The Ambassador shall use only approved branding materials, messaging, and imagery provided by the Company. 3.2. Any modifications to promotional content must receive prior approval from the Company. 3.3. The Ambassador shall not engage in spam-like behaviour, such as excessive tagging, false advertising, or misleading promotions. 3.4. The Ambassador shall respect copyright and intellectual property rights when creating content.

4. Ambassador Requirements

4.1. The Ambassador must have an active social media presence with a minimum follower count and engagement rate as determined by the Company. 4.2. The Ambassador should be genuinely interested in fitness, health, and promoting an active lifestyle aligned with VXS Gym Wear’s brand image. 4.3. The Ambassador must be at least 18 years old and legally able to enter into this Agreement.

5. Performance Expectations

5.1. The Ambassador shall post promotional content at least 2 times per month, including a mix of Instagram posts, stories, or TikTok videos, as agreed upon with the Company. 5.2. The Ambassador is expected to engage with followers by responding to inquiries and comments regarding VXS Gym Wear products. 5.3. The Ambassador must demonstrate consistent activity and quality engagement with their audience to remain in the programme.

6. Compensation & Benefits

6.1. The Ambassador may receive commission-based compensation, personal discounts, or other incentives as determined by the Company. 6.2. Payment of commissions can be requested as a payout if there is commission of £20 or more. Commission under this can be paid out as store credit. 6.3. The Ambassador understands that they are not an employee of the Company and are responsible for their own tax obligations.

7. Use of Discount Codes

7.1. The Ambassador shall receive a unique discount code to share with their followers. 7.2. The Ambassador may not post discount codes on coupon-sharing websites or forums. 7.3. The Ambassador may not use their own discount code for personal purchases. 7.4. Any personal-use discount code provided to the Ambassador must be kept strictly confidential and must not be disclosed to anyone else, inside or outside the team.

8. Use of Logos & Trademarks

8.1. The Ambassador is granted a limited, non-exclusive, revocable licence to use the Company's logos, trademarks, and branding materials solely for the purpose of promoting VXS Gym Wear. 8.2. The Ambassador shall not modify, alter, or create derivative works of any Company logos or trademarks without prior written approval. 8.3. The Ambassador shall not use Company logos or trademarks in a way that suggests official endorsement or partnership beyond the scope of this Agreement. 8.4. Upon termination of this Agreement, the Ambassador must immediately cease all use of the Company’s logos, trademarks, and branding materials.

9. Confidentiality

9.1. The Ambassador agrees to keep confidential any non-public information shared by the Company, including marketing plans, pricing strategies, and upcoming product launches. 9.2. The Ambassador shall not disclose confidential information to any third party during or after their participation in the programme.

10. Agreement Duration & Termination

10.1. This Agreement is effective from the date of acceptance into the Ambassador Programme and continues until terminated by either party. 10.2. The Company may terminate this Agreement at any time if the Ambassador breaches any terms outlined herein. 10.3. The Ambassador may resign from the programme by providing 30 days' written notice to the Company. 10.4. Upon termination, the Ambassador must cease all promotions and remove any Company branding from their social media and digital content.

11. Liability & Indemnification

11.1. The Ambassador participates in the programme at their own risk and agrees that the Company shall not be liable for any personal injury, loss, or damages incurred. 11.2. The Ambassador agrees to indemnify and hold harmless the Company from any claims arising from their breach of this Agreement or misuse of the Company’s products or branding.

12. Miscellaneous

12.1. This Agreement constitutes the entire understanding between the parties and supersedes any prior agreements. 12.2. The Company reserves the right to update these Terms & Conditions at any time, with notice provided to the Ambassador. 12.3. This Agreement shall be governed by and interpreted under the laws of England and Wales. 12.4. Any disputes arising from this Agreement shall be subject to the exclusive jurisdiction of the courts of England and Wales.

By participating in the VXS Gym Wear Brand Ambassador Programme, the Ambassador acknowledges that they have read, understood, and agreed to these Terms & Conditions.
